Terms & Conditions of Service (Master Engagement Agreement)
Effective Date: October 2026 | Jurisdiction: Republic of India (Uttar Pradesh / Bihar)
Welcome to Technovia Technologies ("Technovia", "Company", "We", "Us"). These Terms and Conditions govern your access to and use of our public website (technovia.in), proprietary software solutions, SaaS products, and custom software engineering services. By accessing our services or executing a Statement of Work (SOW), you agree to be bound by these Terms.
1. Professional Engagement & Scoping Model
Technovia operates as an enterprise software engineering firm providing custom web applications, SaaS platforms, ERP systems, and cloud modernization services.
- Statements of Work (SOW): All bespoke engineering projects are governed by a formal SOW detailing project scope, technical deliverables, architectural milestones, delivery timelines, and associated fee schedules.
- Scope Control & Change Requests (CR): Any feature, third-party API integration, design revision, or technical adjustment not explicitly enumerated in the signed SOW is categorized as an out-of-scope Change Request and will be scoped and billed separately.
- Client Review & Milestone Sign-off: Upon delivery of each milestone deliverable into staging, the client shall have a period of ten (10) business days to conduct acceptance testing. In the absence of written defects submitted within this review window, or upon deploying the deliverable into production, the milestone shall be deemed unconditionally approved and accepted.
2. Intellectual Property (IP) Rights & Code Ownership Transfer
We uphold transparent and unequivocal intellectual property practices to safeguard both our clients and our engineering innovations:
IP Ownership Handover Clause
100% PAYMENT REQUIREMENT: Custom source code, database architecture, design layouts, and technical documentation developed specifically for the client shall become the exclusive intellectual property of the client ONLY AFTER 100% of all agreed milestone fees, invoices, and applicable taxes have been cleared and received in full by Technovia.
- Prior to receipt of full final payment, Technovia retains absolute proprietary title and ownership over all intermediate deliverables and code artifacts.
- Pre-Existing Frameworks: Technovia retains full ownership of its pre-existing core software libraries, reusable microservices, deployment boilerplates, and developer tooling. Clients are granted a perpetual, royalty-free, non-exclusive license to operate such bundled components strictly within the delivered application.
- Open Source Compliance: Open-source frameworks (e.g. Laravel, Vue, Bootstrap, PHP) remain governed by their respective MIT/BSD/Apache licenses.
3. Software Delivery Models & Maintenance Warranty
As detailed in our dedicated Maintenance & Product Support Policy, Technovia provides two distinct delivery models:
- Model 1 (Managed Cloud Deployment): Deployed on Technovia cloud servers with Continuous Lifetime Support & Zero Maintenance for the duration of the active hosting subscription.
- Model 2 (Source Code Handover): Complete unencrypted source code delivered to client servers with 2-Month to 1-Year Complimentary Maintenance based on chosen tier.
Unauthorized Third-Party Code Modification Voidance
WARRANTY VOIDANCE CLAUSE: Complimentary maintenance applies exclusively to source code authored and deployed by Technovia. If the client, their internal developers, or any third-party agency alters, refactors, or modifies the codebase, database schema, or server configuration without Technovia's prior written consent, all complimentary maintenance, warranty coverage, and bug-fix SLAs are immediately and permanently terminated (VOID). Any subsequent troubleshooting or recovery assistance will be billed as emergency billable engineering services.
4. Invoicing, Payments & Taxes
- Payment Terms: Invoices are payable within seven (7) business days of issuance unless otherwise agreed in writing.
- Statutory Taxes: All pricing quoted is exclusive of applicable Goods and Services Tax (GST) under the Central Goods and Services Tax Act, 2017 (India), which will be levied at the prevailing statutory rate (18% for IT software services).
- Late Payment Interest: Overdue invoices beyond thirty (30) days shall accrue interest at 1.5% per month or the maximum rate permissible by law, and Technovia reserves the right to suspend development or pause staging access until accounts are settled.
5. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- In no event shall Technovia, its founders, directors, employees, or partners be liable for any indirect, special, incidental, punitive, or consequential damages, including loss of revenue, profits, business interruption, or data corruption.
- Technovia's total aggregate liability arising out of or related to any project engagement, whether in contract, tort, or otherwise, shall be strictly capped and limited to the aggregate amount actually paid by the client under the specific SOW in the three (3) months preceding the incident.
6. Non-Solicitation of Engineering Personnel
The client covenants and agrees that during the term of any project engagement and for a period of twenty-four (24) months following project delivery or termination, the client shall not directly or indirectly solicit, recruit, employ, or engage as an independent contractor any engineer, architect, designer, or employee of Technovia who was involved in the project, without Technovia's express written authorization and payment of a standard placement compensation fee equal to 40% of the employee's annualized compensation.
7. Confidentiality & Non-Disclosure
Both parties agree to protect and keep confidential all proprietary trade secrets, business specifications, source code, and commercial data disclosed during the engagement, and not to disclose such confidential information to third parties without prior written consent.
8. Governing Law, Dispute Resolution & Arbitration
These Terms, contracts, and any disputes arising hereunder shall be governed by and construed in accordance with the substantive laws of the Republic of India:
- Amicable Resolution: Parties shall first attempt to resolve any dispute through good-faith executive negotiations within thirty (30) calendar days.
- Arbitration: In the event that amicable resolution fails, the dispute shall be finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India) by a sole arbitrator mutually agreed upon by both parties.
- Seat & Jurisdiction: The legal seat of arbitration and exclusive jurisdiction of the courts shall be located in Gautam Buddha Nagar (Noida), Uttar Pradesh or Patna, Bihar, India.
